Terms of service

Welcome to HeroCrew.ai (the "Platform"), provided by HeroCrew Ltd., a company registered in Lithuania (company no. 000000000, Registered office: Antakalnio g. 17, 10312 Vilnius, Lithuania) ("HeroCrew," "we," "us," or "our"). These Terms of Service (the "Terms") form a legally binding contract between you and HeroCrew governing your access to and use of the Platform, our websites, mobile applications,  browser extensions and related services (collectively, the "Services"). By creating an account, clicking "I agree," or otherwise using the Services, you accept these Terms.

PLEASE READ CAREFULLY — These Terms contain important provisions that limit our liability, require arbitration (or  court jurisdiction) for certain disputes, and waive class actions. If  you do not agree, do not use the Services.

1. Eligibility & account registration

1. Age and capacity. You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is  higher) and have the legal capacity to enter into contracts. If you  register on behalf of an organization, you represent that you have  authority to bind that entity.
2. Accurate information. You agree to provide true, current and complete information during registration and to keep it updated.
3. Credentials security. You are responsible for maintaining the confidentiality of your login  credentials. You must promptly notify us of any unauthorized use of your account. We are not liable for losses arising from unauthorized access  caused by you.

2. Subscriptions, trials & payment

1. Plans. Certain features require a paid subscription (each a "Plan"). Plan details, pricing and limits are described on our pricing page. We  may introduce new Plans or adjust prices as described in § 14.
2. Trials. We may offer free or discounted trials. At the end of a trial, the Plan will automatically convert to the applicable paid subscription unless  you cancel before the trial ends.
3. Billing. By  purchasing a Plan, you authorize us (or our payment processor) to charge the stated fees, plus applicable taxes, to your chosen payment method  on a recurring basis until you cancel.
4. Refunds. Except as legally required, payments are non‑refundable and prorated refunds are not provided for unused time, downgrade or early termination.
5. Late payments. Overdue amounts may incur interest at 1.5 % per month (or the maximum  permitted) and we may suspend or terminate access to the Services.

3. License & intellectual property

1. Our IP. The Services, including software,  algorithms, models, published content, trademarks and logos, are owned  by HeroCrew or its licensors and are protected by copyright and other  laws. We grant you a limited, revocable, non‑exclusive, non‑transferable right to access and use the Services in accordance with these Terms.
2. User Content. "User Content" means any text, files, images or other materials you input, upload or  generate using the Services (including AI‑generated outputs). You retain all ownership rights in your User Content.
3. License to HeroCrew. You grant HeroCrew a worldwide, royalty‑free license to host, process, transmit, display and use User Content solely to operate, maintain and improve the Services. Where permitted, we may  derive aggregated, de‑identified statistics, which are no longer  Personal Data.
4. Third‑party claims. You  represent that your User Content and its use do not infringe any  third‑party rights. You agree to indemnify us against claims arising  from User Content (see § 11).

4. Generated content & AI disclaimers

1. No professional advice. AI‑generated content may contain inaccuracies or reflect bias. It is provided "as is" for informational purposes only and should not be relied upon as legal, financial, medical or other professional advice.
2. Your responsibility to review. You are solely responsible for evaluating the accuracy and appropriateness of all outputs before using or publishing them.
3. IP rights in outputs. Subject to these Terms and applicable law, you own your AI‑generated  outputs to the extent permitted. HeroCrew assigns to you any rights it  may have in such outputs.
4. Model training. Unless you opt out in Workspace settings or via a written agreement, your User Content and outputs are excluded from training our foundation models. We may still use aggregated analytics for feature usage.

5. Acceptable use policy

1. No professional advice. AI‑generated content may contain inaccuracies or reflect bias. It is provided "as is" for informational purposes only and should not be relied upon as legal, financial, medical or other professional advice.
2. Your responsibility to review. You are solely responsible for evaluating the accuracy and appropriateness of all outputs before using or publishing them.
3. IP rights in outputs. Subject to these Terms and applicable law, you own your AI‑generated  outputs to the extent permitted. HeroCrew assigns to you any rights it  may have in such outputs.
4. Model training. Unless you opt out in Workspace settings or via a written agreement, your User Content and outputs are excluded from training our foundation models. We may still use aggregated analytics for feature usage.

6. Feedback

If you provide suggestions or feedback, you grant HeroCrew a  perpetual, royalty‑free right to use that feedback for any purpose  without obligation to you.

7. Third‑party services & integrations

The Services may integrate with platforms such as Google Drive, Slack or GitHub ("Third‑Party Services"). Your use of Third‑Party Services is subject to their separate terms, which we do not control. HeroCrew is not responsible for Third‑Party Services and disclaims all liability arising from their use.

8. Term, suspension & termination

1. Term. These Terms remain in effect while you use the Services.
2. Suspension. We may suspend or restrict access immediately if: (a) you breach these  Terms; (b) your payment is overdue; (c) we suspect security or misuse  issues; or (d) required by law.
3. Termination by you. You may cancel your account at any time in your workspace settings.  Termination takes effect at the end of your current billing cycle.
4. Termination by us. We may terminate your access on 30 days' written notice, or immediately for material breach. Upon termination, your license ends and you must  cease all use. We will delete or anonymize your User Content in  accordance with our Privacy Policy.

9. Privacy

Our Privacy Policy explains how we collect and process Personal Data. By using the Services, you acknowledge our data practices.

10. Disclaimers; no warranties

1. AS IS. THE SERVICES ARE PROVIDED "AS IS" AND  "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEROCREW  DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING  NON‑INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,  ACCURACY AND NON‑INTERFERENCE.
2. No guarantee of results. We do not warrant that the Services will meet your requirements, be  error‑free, uninterrupted, secure, or that AI outputs will be accurate  or fit for any purpose.
3. Beta features. Features marked as Beta or Preview are experimental and may change or cease without notice.

11. Limitation of liability & indemnification

1. Indirect damages. TO THE FULLEST EXTENT PERMITTED BY LAW, HEROCREW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE  DAMAGES, OR LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS INTERRUPTION,  EVEN IF ADVISED OF THE POSSIBILITY.
2. Liability cap. HEROCREW'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (a) EUR 100 AND (b) THE AMOUNTS PAID BY YOU TO HEROCREW IN THE 12 MONTHS PRECEDING THE CLAIM.
3. Exclusions. Nothing limits liability that cannot be excluded by law (e.g., fraud, death, personal injury caused by negligence).
4. Your indemnity. You agree to defend, indemnify and hold harmless HeroCrew and its affiliates from claims, damages, losses and expenses  arising from (a) your use of the Services, (b) User Content, or (c) your breach of these Terms.

12. Governing law & dispute resolution

1. EU & UK customers. These Terms are governed by the laws of the Republic of Lithuania. You and HeroCrew submit to the exclusive jurisdiction of the courts in Vilnius for all disputes, except mandatory consumer protections.
2. US & other customers. Any dispute will be resolved by binding arbitration administered by the International Centre for Dispute Resolution (ICDR)  under its Rules. The arbitration will be in English, seat Vilnius, with  one arbitrator. Class‑action waivers apply.
3. Informal resolution. Before filing, you agree to attempt informal resolution by emailing legal@herocrew.ai and allowing 30 days.

13. Export compliance & sanctions

1. You may not access or use the Services if (a) you are located in a  country subject to EU, UK or U.S. embargoes or designated as supporting  terrorism, or (b) you are on government sanctions lists. You must comply with all export‑control laws and regulations.

14. Modifications to the services or terms

1. HeroCrew may update these Terms or modify the Services to improve functionality or comply with law. Material changes will be announced via in‑app notice or email at least 30 days before they take effect. Continued use after the effective date  constitutes acceptance. If you do not agree, you must stop using the  Services before the changes apply.

15. Miscellaneous

1. Entire agreement. These Terms constitute the  entire agreement between you and HeroCrew regarding the Services and  supersede all prior oral or written agreements.
2. Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
3. Assignment. You may not assign or transfer these Terms without our prior written  consent. HeroCrew may assign freely in connection with a merger,  acquisition or sale of assets.
4. No waiver. Failure to enforce any right does not waive the right to enforce it later.
5. Force majeure. HeroCrew is not liable for delays or failures caused by events beyond its reasonable control.
6. Notices. Legal notices to HeroCrew must be sent to legal@herocrew.ai and by registered mail to the address above. We may send notices to the e‑mail associated with your account.
